Terms of Service
These Terms govern your use of the websites, applications, and APIs operated by ICVFXTools (the “Service”). By accessing the Service or purchasing a subscription, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1.Acceptance of these Terms
These Terms form a binding agreement between you (the “Customer”, “you”) and ICVFXTools (the “Company”, “we”, “us”). You accept these Terms by (a) creating an account or licence, (b) clicking an acceptance control, (c) completing a purchase through our payment processor, or (d) installing, accessing, or using any part of the Service.
If you are accepting on behalf of an organisation, you confirm you have authority to bind that organisation, and “you” and “Customer” also refer to that organisation.
2.Definitions
- Service
- All websites, applications, downloadable software, APIs, web tools, documentation, and support provided by ICVFXTools.
- Software
- The compiled binaries and source we provide for installation on Customer hardware, including WallSync Master and Client.
- API
- The hosted APIs we provide, including the LensLab calibration API and the licensing API.
- Licence Key
- A subscription-bound key issued by us that authorises use of the Software on a specified number of devices.
- Licence Token
- A server-signed token issued by our servers after a Licence Key is bound to a specific machine; verified locally by the Software.
- Master
- The Customer machine to which a Licence Key is bound and which runs the WallSync coordinator process.
- Client
- A Customer machine that connects to a Master and consumes a leased seat under the Master's licence.
- Free Tools
- Browser-based or downloadable utilities provided at no charge.
- Subscription
- A recurring paid right to use the Service for a defined period.
- Paddle
- Paddle.com Market Ltd or its affiliates, our payment processor and seller of record.
3.The Service
ICVFXTools provides software and online tools for virtual production, LED-wall planning, lens calibration, and related tools. The Service includes paid products (such as WallSync and the LensLab API) and Free Tools (such as the lens calibration tool, LED wall configurator, and CurveLab).
Different parts of the Service are governed by these Terms plus any product-specific terms presented to you at purchase or activation. If there is a conflict between these Terms and product-specific terms, the product-specific terms control for that product only.
Plugins sold via the Unreal Engine Fab Marketplace (Epic Games' marketplace) are licensed and sold by Epic Games under the Fab Marketplace Terms of Service. ICVFXTools is the author of those plugins but is not the seller of record for Fab-listed purchases. For sales, licensing, refunds, or end-user-licence questions related to plugins purchased on Fab, contact Epic Games through the Fab Marketplace. Our support covers plugin functionality only.
4.Eligibility and account
You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is higher), to purchase a paid subscription. By doing so you confirm that you meet this requirement and that your use does not violate any law applicable to you.
You are responsible for keeping your Licence Keys, API keys, passwords, and other access details confidential. You are responsible for all activity that occurs under those access details, and must notify us promptly at support@icvfxtools.com if you suspect compromise.
5.Free tools
We offer Free Tools as a courtesy to the virtual-production community. Free Tools are provided as-is, without warranty, without service-level commitments, and without an obligation of continued availability. We may modify, restrict, throttle, or discontinue any Free Tool at any time, with or without notice.
Use of Free Tools may be subject to rate limits and abuse controls. We may suspend access if your use risks degrading the Service for others.
6.Paid subscriptions
Paid subscriptions are sold and processed through Paddle. Paddle handles payments, tax, refunds, fraud checks, and customer billing records. The subscription contract for the underlying service is between you and us.
Subscription scope (such as the number of Masters or Clients, the included features, and the support tier) is described on the relevant pricing page at the time of purchase. We may add features at no extra cost. Material reductions in scope, if any, will be notified in advance.
7.Software licence (WallSync)
Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software during your paid subscription period, on the number of Masters and Clients permitted by your subscription tier.
A Licence Key is bound to a single Master machine on first activation. To move it to a different Master, you must deactivate the existing binding from the Software's settings panel. Concurrent use of a single Licence Key on more than one Master is prohibited.
Your Licence Key may not be sold, leased, sublicensed, shared, published, or otherwise made available to anyone outside your organisation. Disclosure of a Licence Key counts as a material breach of these Terms.
8.API licence (LensLab and others)
For hosted API services (such as LensLab), we grant you a non-exclusive, non-transferable right to make API calls in accordance with the documented limits, during your paid period, using access details issued to you. API quotas are personal to your account, are not transferable, and reset on the cadence documented in the API reference.
You may build internal tools and products that consume the API, provided you do not resell raw API access or wrap it as a substitute API offering without our prior written permission.
9.Restrictions on use
You must not, and must not permit any third party to:
- copy, modify, translate, or create derivative works of the Software except as expressly permitted in writing;
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, signing keys, or licence-enforcement logic of the Software, except to the extent this restriction is expressly prohibited by mandatory applicable law;
- circumvent, disable, tamper with, or bypass any licence verification, hardware binding, lease counting, or anti-tamper measure;
- distribute, resell, lease, sublicense, or share Licence Keys, API keys, or Licence Tokens;
- operate more concurrent Masters or Clients than your subscription permits;
- use the Service to develop a competing product or service;
- use the Service to transmit malware, infringing content, or content that violates applicable law;
- probe, scan, or test the vulnerability of the Service without our prior written permission;
- run load tests or denial-of-service activity against our servers;
- scrape, crawl, or systematically extract data from the Service except as permitted by published interfaces;
- remove or alter any copyright, trademark, or other proprietary notice.
Use of the Service in safety-critical, life-support, medical, nuclear, or live broadcast-critical environments is at your own risk. We do not guarantee that the Service will be free from interruption or error in those contexts.
10.Billing, renewals, and price changes
Subscriptions renew automatically at the end of each billing period at the then-current price for your tier, until cancelled. Renewal charges appear under “Paddle * ICVFXTools” on your statement.
Applicable VAT, GST, or sales tax is calculated and added by Paddle at checkout based on your billing country. Tax invoices are issued by Paddle and emailed automatically; you can retrieve copies from the link in your receipt.
We may change subscription pricing on at least 30 days' notice before the start of your next billing period. If you do not accept the new price, you may cancel before the change takes effect.
Failed renewal charges may result in suspension after a reasonable grace period. Repeated failure may result in termination and revocation of the Licence Key.
11.Trials
We may offer a free trial of paid Services. Trial scope, length, and feature limits are stated at signup. At the end of the trial, the subscription converts to a paid plan and your payment method is charged, unless you cancel before the end of the trial. We reserve the right to limit trial eligibility (for example, one trial per organisation) and to terminate a trial for abuse.
12.Cancellation
You may cancel your subscription at any time through the link in any Paddle receipt email, or by emailing support@icvfxtools.com. Cancellation takes effect at the end of the current paid period. You retain access until then. No further charges will be taken.
After cancellation, your Licence Key remains usable in offline grace until its grace window expires, after which production features will be disabled. Your account data is retained per the Privacy Policy.
13.Refunds
Refund rights are set out in our Refund Policy, which forms part of these Terms. In summary: within 14 days of the first paid charge, you can request a refund. After 14 days, partial refunds are at our discretion.
14.Suspension and termination
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if:
- you breach these Terms or any product-specific terms;
- your payment method fails and is not cured within a reasonable period;
- we detect circumvention of licence enforcement, sharing of access details, or abuse of the Service;
- your use creates a security, legal, or reputational risk to us or to others;
- continuing the service would violate law or a third-party agreement we are bound by.
On termination for your breach, no refund is owed. On termination for our convenience, we will refund the unused, prepaid portion of your subscription on a pro-rata basis.
Sections that by their nature should survive termination (including 7, 9, 15, 18, 19, 20, 23) survive termination.
15.Intellectual property
The Service, including the Software, APIs, websites, source code, documentation, trademarks, logos, and underlying methodologies, is owned by ICVFXTools and its licensors and is protected by copyright, trademark, and other laws. These Terms grant you a limited right to use the Service. No other rights are granted.
We welcome feedback. If you send us suggestions, ideas, or feature requests, you grant us a worldwide, royalty-free, perpetual, irrevocable licence to use that feedback for any purpose, without obligation to you. You confirm you have the right to send it.
16.User content (forum and uploads)
Parts of the Service may let you post or upload content (forum posts, calibration data, lens files, configuration). You retain ownership of your content. You grant us a limited, worldwide, royalty-free licence to host, store, transmit, display, and process that content solely as needed to operate the Service.
You confirm that your content:
- does not infringe any third-party right;
- is not unlawful, defamatory, or harassing;
- does not contain malware, exploit code, or sensitive personal data of others;
- complies with any community guidelines we publish.
We may remove content that violates these Terms or that we reasonably believe creates legal risk. We are not obliged to retain or back up user content; you should keep your own copies.
17.Updates and changes to the Service
We continuously develop the Service. We may add, modify, or remove features; change underlying technology; or rework interfaces. We will use reasonable effort to maintain feature parity, but we do not commit to keeping any specific feature available indefinitely. Material removals affecting paid plans will be notified with at least 30 days' advance notice where practicable.
Software updates may be required to maintain compatibility with the licensing system. Operating on an outdated build may eventually prevent licence renewal or production use.
18.Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided “AS IS” and “AS AVAILABLE”, with all faults and without warranty of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non- infringement, accuracy, or quiet enjoyment.
We specifically do not warrant that:
- the Service will be uninterrupted, timely, secure, or error-free;
- defects will be corrected;
- the Service will meet your specific requirements;
- the licence-enforcement mechanisms are uncircumventable;
- information obtained from the Service is accurate or reliable for any specific use;
- any third-party software, hardware, or service interoperates with the Service.
You use the Service at your own risk and are responsible for any consequences of doing so. Nothing in these Terms excludes warranties that cannot be excluded under applicable law.
19.Limitation of liability
To the maximum extent permitted by applicable law:
- our total aggregate liability arising out of or related to the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the aggregate fees actually paid by you to us for the Service to date. For Free Tools and any unpaid use, our liability is limited to nil, save as required by mandatory applicable law;
- we shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, business, goodwill, anticipated savings, data, or production output, even if we have been advised of the possibility of such damages;
- we shall not be liable for any damage arising from third-party services, equipment, or networks outside our reasonable control.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions our liability is limited to the maximum extent permitted by law.
Nothing in this Section limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited by law.
20.Indemnification
You agree to indemnify, defend, and hold harmless ICVFXTools, its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- your use of, or inability to use, the Service in breach of these Terms;
- your violation of any law or third-party right;
- your content;
- your circumvention of licence enforcement or sharing of access details.
We will give you prompt notice of any claim subject to indemnification, and you will have reasonable control of the defence, provided that you may not settle a claim without our prior written consent if the settlement requires admission by us or affects our rights.
21.Force majeure
Neither party is liable for delay or failure in performance caused by events beyond its reasonable control, including acts of war, civil unrest, pandemic, fire, flood, earthquake, power or network outage, denial-of-service attack, or governmental action. The affected party will use reasonable effort to resume performance.
22.Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or by a notice on the website at least 30 days before taking effect. Continued use of the Service after that period constitutes acceptance of the updated Terms. If you do not accept the changes you may cancel.
The version of these Terms in force at the time of your purchase or use applies to that purchase or use, unless a later version is expressly accepted by you.
23.Disputes
Payments for paid subscriptions are processed by Paddle.com Market Ltd, our seller of record. Refund requests, billing disputes, and chargeback enquiries are handled through Paddle's standard dispute-resolution process in the first instance, governed by Paddle's terms with you as a buyer.
For any other dispute arising out of or related to these Terms, you agree to first contact us at support+legal@icvfxtools.com and attempt in good faith to resolve the matter informally for at least 30 days before bringing any formal proceedings.
If you reside in the European Union or the United Kingdom, nothing in these Terms affects your statutory consumer rights, including the right to bring proceedings in your country of residence where required by law.
24.Miscellaneous
- Entire agreement. These Terms, the Privacy Policy, the Refund Policy, and any product-specific terms presented at purchase form the entire agreement between you and us regarding the Service.
- If one part fails. If one part of these Terms is held unenforceable, the rest still applies.
- No waiver. If we do not enforce a right once, we can still enforce it later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Independent contractors. Nothing in these Terms creates a partnership, agency, employment, or joint-venture relationship.
- Notices. Notices to us must be sent to support+legal@icvfxtools.com. Notices to you may be sent to the email address associated with your account.
- Export control. You confirm you are not located in, and will not use the Service from, any jurisdiction subject to a comprehensive embargo by the United States, the United Kingdom, the European Union, or the United Nations, and that you are not on a restricted-party list.
